SUBSCRIPTION & COMMISSION TERMS

These Subscription & Commission Terms (the “Terms”) govern the subscription services and commission structures offered by ABCPLATFORM S.L., NIF: B23995418, (the “Company”, “we”, “our”, or “us”) through the educational platform (the “Platform”). These Terms apply to all categories of Users, including Teachers and Organizations, who subscribe to our tariff plans and conduct sales, bookings, or events via the Platform. By enrolling in any subscription plan or engaging in any commission-eligible transaction, you (“User”, “you”, or “your”) agree to comply with these Terms in full.

ARTICLE I – DEFINITIONS AND INTERPRETATION

1.1 Definitions
For purposes of these Terms:
(a) “Subscription Plan” or “Tariff Plan” means a recurring membership option selected by a User (Teacher or Organization) that determines applicable features, benefits, and commission rates.

(b) “Commission” means the percentage of gross transaction value retained by the Platform for facilitating sales or bookings.

(c) “Student”  means an individual who purchases courses, educational hours, subscriptions, and everything related to them for educational purposes. Students purchase any educational materials solely for personal learning purposes. They may not purchase them for commercial purposes or for sale or distribution.

(d) “Teacher” means an individual who offers courses, live sessions, or other educational services on the Platform.

(e) “Organization” means a legal entity providing educational services via the Platform.

(f) “Transaction” means any course sale, booking, or event ticket sale processed through the Platform.

(g) “Wallet” means the internal digital account where Users receive and manage earnings.

(h) “Active Subscription” means a current, paid-up Subscription Plan in effect during its billing cycle.

1.2 Interpretation
(a) References to “you” apply equally to Teachers and Organizations unless expressly distinguished.

(b) Headings are for reference only and do not limit interpretation.

(c) “Including” means “including but not limited to.”

ARTICLE II – SCOPE OF APPLICATION

2.1 These Terms apply exclusively to:
(a) For any purchase by any users (Students, Teachers, Organizations, Visitors, Affiliates and others) on the Platform, a Fee of 10% of the purchase amount is charged for the service and guarantee of a secure deal.

(b) The subscription services available to Students, Teachers and Organizations.

(c) Commission rules for transactions including course sales, hour bookings, and event tickets.

(d) Associated benefits such as bonuses, cashback, or incentives tied to subscription or commission structures.

2.2 These Terms are incorporated by reference into the Platform’s Terms & Conditions (User Agreement) and must be read in conjunction with them.

ARTICLE III – SUBSCRIPTION PLANS FOR TEACHERS

3.1 Available Plans
Teachers may select from five (5) Subscription Plans:
(a) Standard – Free of charge; Commission: 25%.

(b) Premium – Monthly Fee (Price: $29); Commission: 20%.

(c) Advanced – Monthly Fee (Price: $49); Commission: 18%.

(d) Professional – Monthly Fee (Price: $99); Commission: 15%.

(e) VIP – Monthly Fee (Price: $149); Commission: 10%.

3.2 Plan Benefits
(a) Higher-level plans reduce commission rates and may unlock additional features such as advanced analytics, priority listing, enhanced promotional tools, or dedicated support.

(b) Features and benefits are determined solely by the Company and may evolve over time.

3.3 Teacher Obligations
(a) Teachers must keep subscription fees current to maintain access to benefits.

(b) Downgrading is permitted but will take effect only upon the next billing cycle.

(c) Teachers acknowledge that commission rates apply to all transactions within their subscription tier.

ARTICLE IV – SUBSCRIPTION PLANS FOR ORGANIZATIONS

4.1 Available Plans
Organizations may select from five (5) Subscription Plans:
(a) Standard+ – Free of charge; Commission: 25%.

(b) Premium+ – Monthly fee (Price: $49); Commission: 20%.

(c) Advanced+ – Monthly fee (Price: $99); Commission: 18%.

(d) Professional+ – Monthly fee (Price: $199); Commission: 15%.

(e) VIP+ – Monthly fee (Price: $499); Commission: 10%.

4.2 Organization Benefits
(a) Organization plans include the ability to manage multiple Teachers under a single profile, organizational branding, and bulk event listings.

(b) Higher tiers offer reduced commissions and additional promotional opportunities.

4.3 Organization Obligations
(a) Organizations are responsible for ensuring all affiliated Teachers comply with Platform rules.

(b) Misuse of subscription benefits may result in plan downgrade or termination.

ARTICLE V – COMMISSION STRUCTURE

5.1 Commission Application
(a) Commission rates apply to gross transaction values, including course sales, bookings, and event ticket sales.

(b) Commission is deducted automatically at the point of transaction before funds are credited to the User’s Wallet.

5.2 Commission Stability
(a) Commission rates may change at any time for new or renewing subscriptions.

(b) Commission rates for Active Subscriptions remain fixed until the subscription renewal date.

5.3 Additional Commissions
The Company may apply additional commissions to special services (e.g., promotional campaigns, third-party integrations), with notice provided to Users.

ARTICLE VI – PAYMENT RULES

6.1 Mandatory Platform Transactions
(a) All payments for courses, bookings, and events must be processed exclusively through the Platform.

(b) Direct or off-platform transactions are prohibited unless express written authorization is provided by the Company.

6.2 Violation of Payment Rules
(a) Engaging in off-platform payments without authorization constitutes a material breach.

(b) Consequences include suspension, termination, forfeiture of Wallet balances, and legal action.

6.3 Invoicing and Taxes
(a) Subscription fees are billed in advance, monthly or annually.

(b) All prices are exclusive of VAT/GST unless otherwise stated.

(c) Users are responsible for declaring and paying all applicable taxes in their jurisdiction.

ARTICLE VII – BONUSES, CASHBACK, AND INCENTIVES

7.1 Registration Bonus
(a) The Platform may grant a one-time registration bonus to new Users, credited to their Wallet.

(b) Bonus amounts and eligibility are determined solely by the Company.

7.2 Cashback Program
(a) A standard cashback of five percent (5%) may be applied to purchases.

(b) Cashback percentages are subject to change at the Company’s discretion.

(c) Cashback is cancelled if the User’s account is blocked or terminated.

7.3 Other Incentives
(a) The Company may introduce seasonal promotions, referral bonuses, or loyalty rewards.

(b) All such incentives are discretionary and may be withdrawn without prior notice.

ARTICLE VIII – PLAN MODIFICATIONS AND UPGRADES

8.1 Upgrades
(a) Users may upgrade to higher-tier plans at any time, effective immediately upon payment.

(b) Upgrades result in immediate application of lower commission rates.

8.2 Downgrades
(a) Users may downgrade only at the next billing cycle.

(b) Downgrading does not entitle the User to refunds for unused portions.

8.3 Company’s Right to Modify Plans
(a) The Company reserves the right to revise plan pricing, features, and commission rates.

(b) Material changes will be communicated at least thirty (30) days in advance.

ARTICLE IX – REFUNDS AND CANCELLATIONS

9.1 Subscription Fees
(a) Subscription fees are generally non-refundable.

(b) Refunds may be granted only in cases of demonstrable technical failure caused by the Company.

9.2 Cancellation by User
(a) Users may cancel subscriptions at any time, but benefits remain until the end of the billing cycle.

(b) No partial refunds for early cancellations.

9.3 Cancellation by Company
(a) The Company may cancel subscriptions for breach of Terms.

(b) In such cases, commission adjustments and forfeitures may apply.

ARTICLE X – FRAUD PREVENTION AND AUDIT RIGHTS

10.1 Fraudulent Behavior
(a) Any attempt to manipulate commission structures, bonuses, or cashback programs is prohibited.

(b) Examples include creating false accounts, falsifying transactions, or colluding to bypass Platform fees.

10.2 Audit Rights
The Company reserves the right to audit transaction histories, subscription use, and associated records to ensure compliance.

10.3 Consequences
Fraud or misuse may result in suspension, termination, forfeiture of balances, and legal proceedings.

ARTICLE XI – LIABILITY AND LIMITATION

11.1 Company Disclaimer
(a) The Company provides no guarantee of earnings, profitability, or return on subscription fees.

(b) Performance of Teachers or Organizations is their sole responsibility.

11.2 Limitation of Liability
To the maximum extent permitted by law, the Company’s liability shall not exceed the total subscription fees paid by the User in the preceding three (3) months.

ARTICLE XII – GOVERNING LAW AND DISPUTES

12.1 Governing Law
These Terms are governed by the laws of Spain and applicable international law.

12.2 Dispute Resolution
Disputes shall first be attempted to be resolved amicably. If unresolved, disputes shall be subject to the exclusive jurisdiction of courts in Spain.

ARTICLE XIII – AMENDMENTS

13.1 The Company may update these Terms at any time.

13.2 Updates take effect immediately upon posting unless otherwise specified.

13.3 Continued use of the Platform after updates constitutes acceptance.
